These Terms of Service govern your engagement with Gradient Methods LLC ("we," "us," or "Gradient Methods") for consulting, engineering, and advisory services. By engaging our services, you agree to these terms.
Gradient Methods provides applied AI consulting, cloud architecture, distributed systems engineering, and fractional technical leadership. The specific scope, deliverables, and timeline for each engagement are defined in a separate Statement of Work (SOW) or engagement letter agreed upon by both parties.
All engagements are governed by a mutually agreed SOW that outlines:
Fees are specified in the applicable SOW. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may be subject to a 1.5% monthly interest charge. Either party may terminate an engagement with 30 days written notice, with payment due for all work completed through the termination date.
Unless otherwise specified in the SOW, all custom work product created during an engagement is assigned to the client upon full payment. Gradient Methods retains the right to use general knowledge, techniques, and methodologies developed or refined during engagements. Pre-existing tools, frameworks, and libraries remain the property of their respective owners.
Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. This obligation survives the termination of any engagement. Specific confidentiality terms may be outlined in a separate NDA or within the SOW.
Gradient Methods provides services on an "as-is" basis and makes no guarantees regarding specific business outcomes. Our total liability for any engagement shall not exceed the fees paid for that engagement. We are not liable for indirect, incidental, or consequential damages.
Gradient Methods operates as an independent contractor. Nothing in these terms creates an employment, partnership, or agency relationship between Gradient Methods and the client.
We may update these terms from time to time. Material changes will be communicated to active clients. Continued engagement after changes constitutes acceptance of the updated terms.
